Proposals and estimates are based on the information available when prepared. A project starts only when the parties accept the relevant written scope, timeline, payment terms, and deliverables. Changes to scope, timeline, assumptions, integrations, assets, platforms, or approval cycles may require a revised estimate or change order.

4. Your Responsibilities

You agree to:

• Provide accurate project details, business information, permissions, assets, and approvals.
• Confirm that you have rights to any logos, trademarks, copy, images, customer data, files, or materials you provide.
• Review deliverables promptly and give clear feedback within agreed timelines.

5. Content, Assets, And Intellectual Property

You retain ownership of materials you provide to us. You grant Chopstick Studios a limited right to use those materials to evaluate, create, test, deliver, and support the requested work.

Unless a written agreement says otherwise, Chopstick Studios retains ownership of pre-existing tools, templates, libraries, know-how, concepts, reusable components, and internal systems. Final ownership or license rights for custom deliverables are governed by the applicable proposal or signed agreement and may depend on full payment.

6. AI-Assisted Concepts And Strategy Outputs

Some website features and internal workflows may use AI-assisted systems to generate drafts, summaries, campaign ideas, or prototype concepts. These outputs are starting points and may require review, editing, clearance, testing, and validation before use. You are responsible for deciding whether any concept is suitable for your business, audience, legal obligations, and brand standards.

Our work may rely on third-party services such as hosting providers, analytics tools, databases, email platforms, AI providers, payment processors, app stores, social networks, or client-selected integrations. We are not responsible for outages, policy changes, fees, data practices, or performance issues caused by third-party services outside our control.

8. Payments, Taxes, And Late Amounts

Project fees, deposits, milestones, expenses, taxes, and payment deadlines will be stated in the applicable proposal, invoice, or written agreement. Unless the written scope says otherwise, fees are non-refundable once work has started. Late payments may pause work, delay delivery, or result in additional administrative costs where permitted.

9. Confidentiality

If either party shares non-public business, technical, financial, campaign, or customer information marked or reasonably understood as confidential, the receiving party will use reasonable care to protect it and will use it only for the related business purpose. Confidentiality obligations do not apply to information that is public, already known, independently developed, or lawfully received from another source.

10. Acceptable Use
